7. INDEMNIFICATION
You agree to fully release, discharge, relinquish, defend, indemnify and hold harmless NorthBayHouseBuyers.com, as well as its affiliates, subsidiaries, and third-party Vendors. This protection extends to each of their respective members, shareholders, directors, officers, employees, agents, representatives, and contractors of every tier (collectively referred to as the “Indemnitees”).
This indemnification covers all losses, claims, demands, and legal causes of action of any nature or character. This includes, without limitation, all costs, reasonable attorney fees, and legal expenses resulting from any claim brought by any person or entity that arises out of, relates to, or is in connection with your access to and use of the Sites, including any Site Information you obtain through the Services.
The obligations to release, defend, and indemnify described in this section shall apply regardless of fault. 10.3. Severability: If any part of this Agreement is deemed invalid by a court, the remaining provisions will stay in full effect, and the court shall modify the invalid section to the minimum extent necessary to make it enforceable.
10.4. Access Fees: You are responsible for all data, messaging, and connectivity charges incurred from your mobile provider or internet service provider while accessing NorthBayHouseBuyers.com.
10.5. Termination of Access: NorthBayHouseBuyers.com may revoke your access to the Sites at any time and for any reason. Such termination does not waive our right to seek legal or equitable relief for your prior actions.

Should any conflict arise between these terms and future updates, the most recently published version of the Terms & Conditions on the Site will take precedence.
RESERVATION OF RIGHTS: Any rights not specifically granted to the user within this document are strictly reserved by NorthBayHouseBuyers.com.
11. RESOLUTION OF LEGAL DISPUTES AND ARBITRATION
PLEASE REVIEW THIS SECTION CAREFULLY, AS IT MAY MATERIALLY IMPACT YOUR LEGAL RIGHTS, INCLUDING YOUR ABILITY TO COMMENCE A LAWSUIT IN COURT.
11.1. Scope of Arbitration Agreement: In accordance with the provisions of this Section, both you and NorthBayHouseBuyers.com agree that any claim, disagreement, or dispute arising from your use of the Sites, our Services, or this Agreement (collectively, a “Dispute”) shall be settled through binding arbitration rather than through the court system. The only exceptions to this are: (i) either party may seek relief in small claims court, provided the claim qualifies and stays within that jurisdiction; and (ii) either party may pursue equitable relief in court specifically for the misuse or infringement of intellectual property rights.
11.2. Waiver of Jury Trial: BY AGREEING TO THESE TERMS, BOTH YOU AND NORTHBAYHOUSEBUYERS.COM VOLUNTARILY WAIVE ANY CONSTITUTIONAL OR STATUTORY RIGHTS TO PURSUE A CASE IN COURT BEFORE A JUDGE OR JURY. Instead, all Disputes will be settled via arbitration as outlined in Section 11.1. Arbitration is a more informal process without a judge or jury, and the results are subject to very restricted judicial review.
11.3. Class Action Waiver: YOU AND NORTHBAYHOUSEBUYERS.COM AGREE TO RESOLVE DISPUTES SOLELY ON AN INDIVIDUAL BASIS. BOTH PARTIES WAIVE THE RIGHT TO PARTICIPATE IN, OR HAVE ANY DISPUTE ADMINISTERED OR ARBITRATED AS, A CLASS, COLLECTIVE, MASS, OR REPRESENTATIVE ACTION. The arbitrator may only grant individual relief, and the claims of multiple users cannot be combined or consolidated for any reason.
11.4. Mandatory Informal Resolution: Prior to filing for arbitration, both parties agree to attempt an informal resolution. You and a representative of NorthBayHouseBuyers.com must participate in a good-faith “Informal Dispute Resolution Conference” via telephone or video call. To begin this process, the initiating party must provide written notice (“Notice”) to the other. Notices to us must be sent to NorthBayHouseBuyers.com and include your full name, contact information, and a detailed summary of the Dispute. This conference must occur within 45 days of the Notice. Completing this process is a mandatory requirement before arbitration can be filed; the statute of limitations will be paused during this period.
11.5. Arbitration Guidelines: If the informal process fails, binding arbitration may be initiated under the Federal Arbitration Act (9 U.S.C. § 1 et seq.). The proceedings will be managed by JAMS following their most recent Streamlined Arbitration Rules and Procedures. If JAMS is unavailable, the parties will mutually select an alternate forum. All arbitration proceedings shall take place in Solano County, California, or via remote/virtual hearings as may be allowed.
11.6. Arbitrator’s Jurisdiction: The arbitrator holds the exclusive power to determine the enforceability, interpretation, and scope of this Arbitration Agreement. The arbitrator will provide a written decision and award, which shall be final and legally binding on all parties.11.7. 30-Day Opt-Out Provision: You have the option to decline this Arbitration Agreement. To do so, you must send a written notice to Info@northBayHouseBuyers.com or via USPS mail to 750 Mason Street, Ste 103, Vacaville CA 95688 within thirty (30) days of first accessing the Sites or Services. Your opt-out notice must contain your name, address, and a clear, unequivocal statement that you wish to opt out of this specific Arbitration Agreement. If you choose to opt out, all other sections of these Terms & Conditions remain in full force
